Welcome to PRIVATE GPT. These Terms of Use govern your access to and use of our services, including our website, application programming interfaces (APIs), and artificial intelligence (AI) features (collectively, the “Services”).

1. Description of the Services

PRIVATE GPT is a platform that allows the purchase of “tokens” to interact with artificial intelligence (AI) models. Tokens are debited for processing tasks such as:

● Text: Measurement unit based on words (“word”).
● Image: Generation of visual files (“image”).
● Audio/Video: Time-based processing (“minute”).

2. Eligibility and Accounts

To use the Services, the user must be at least 18 years old (or the legal age of majority in their jurisdiction).

2.1. Responsibility: The user is solely responsible for the accuracy of registration information and for maintaining the security of their password.

2.2. Account Activity: Any action performed through the user’s account is entirely the user’s responsibility.

3. Purchase and Use of Tokens

3.1. Acquisition: Tokens are purchased through packages specified on the “Pricing” page.

3.2. Consumption: Tokens are debited according to usage, following the rates detailed in the official documentation.

3.3. Validity: Unless otherwise stated, tokens do not expire.

3.4. Restrictions: Tokens are non-transferable and cannot be exchanged for cash, resold, or refunded, except as expressly provided below.

4. Right of Withdrawal and Refund Policy

4.1. Right of Withdrawal (Cooling-Off Period):

In accordance with consumer protection laws (including the Brazilian Consumer Protection Code – CDC – and the EU Consumer Rights Directive), users are entitled to withdraw from their purchase within the applicable reflection period.

Applicable Periods:

● Brazil: 7 (seven) calendar days from the date of purchase.
● European Union: 14 (fourteen) calendar days from the date of purchase.

Fundamental Condition: The right of withdrawal applies exclusively if none of the tokens included in the purchased package have been used. The use of any quantity of tokens voids this right, as the digital service is considered to have commenced.

4.2. General No-Refund Rule:

Outside the withdrawal period or after the use of any portion of the purchased token package, all purchases are considered final and non-refundable.

4.3. Exceptions:

PRIVATE GPT reserves the right, at its sole discretion and on a case-by-case basis, to review refund requests in exceptional circumstances, including but not limited to:

● Verified Technical Failure: Platform errors that prevent the proper use of purchased tokens.
● Billing Errors: Duplicate charges or incorrect amounts processed by the system.

5. Intellectual Property

5.1. Our Rights: The Company retains all rights to the software, AI models, trademarks, and infrastructure.

5.2. Your Content (Inputs): You retain all rights to the data you submit to the Services.

5.3. Generated Content (Outputs): The Company assigns to you all rights, title, and interest in the generated outputs, including the right to use them commercially.

Note: Due to the nature of AI, similar outputs may be generated for different users. The assignment applies specifically to the output generated during your session.

6. Acceptable Use Policy

It is strictly prohibited to use the Services to:

● Generate illegal, hateful, or third-party rights–infringing content.
● Perform reverse engineering or attempt to extract the platform’s source code.
● Misrepresent AI-generated content as purely human-created for deceptive purposes.
● Develop AI models that directly compete with the Services.

7. Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS.” PRIVATE GPT does not guarantee that the Services will be uninterrupted or error-free. To the maximum extent permitted by law, our total financial liability shall not exceed the amount paid by you in the last twelve (12) months.

8. Governing Law and Jurisdiction

These Terms are governed by the laws of Brazil. The courts of São Paulo, SP, are hereby elected as the exclusive jurisdiction to resolve any disputes arising from these Terms.

9. Changes to the Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or notice on the platform. Continued use of the Services after such changes constitutes acceptance of the revised Terms.
